Terms of Service

1. Acceptance of Terms

These Terms of Service govern your use of Mr. ChAIrman ("the Service"), operated by Yousef Alghanim. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

chAIrman is a software-as-a-service platform that provides an MCP (Model Context Protocol) server for orchestrating AI agents via Claude Desktop and Claude Code. The Service includes a downloadable binary, a web dashboard, skill libraries, and related tools.

3. Accounts and Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at [email protected] of any unauthorized use.

4. Subscriptions and Billing

• chAIrman is offered as a paid subscription service with monthly billing.
• Subscription fees are billed in advance on a recurring monthly basis via Paddle, our payment processor.
• You may cancel your subscription at any time through your account page or the Paddle billing portal. Cancellation takes effect at the end of the current billing period.
• chAIrman reserves the right to change pricing with 30 days' notice.

5. Cancellation and Refund Policy

Cancellation: You may cancel your subscription at any time through your account page. When you cancel, you retain full access to all features until the end of your current billing period. After the period ends, your account reverts to inactive status. You can resubscribe at any time — your project history and data are preserved.

6. License and Usage

Subject to these Terms, chAIrman grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes. You may not:

• Reverse engineer, decompile, or disassemble the binary or server software.
• Redistribute, sublicense, or resell the Service or any part of it.
• Use the Service to build a competing product.
• Exceed the concurrent agent or project limits of your subscription tier.
• Attempt to circumvent licensing or authentication mechanisms.

7. Third-Party Services

chAIrman integrates with third-party services including Anthropic (Claude), Paddle (payment processing), and cloud hosting providers. Your use of those services is governed by their respective terms. chAIrman is not responsible for the availability, performance, or policies of third-party services.

8. Intellectual Property

All content, code, skills, templates, and documentation provided by chAIrman remain the intellectual property of chAIrman. Your subscription grants usage rights only — not ownership. Code generated by AI agents within your projects belongs to you.

9. Data and Privacy

chAIrman processes data as described in our Privacy Policy. By using the Service, you agree to the data practices described therein. The MCP server runs locally on your machine — project files and agent outputs remain on your local system.

10. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Generate, store, or transmit malicious code or malware.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt unauthorized access to any part of the Service.
• Use the Service for any purpose that is harmful, fraudulent, or deceptive.

11. Service Availability

chAIrman strives to provide reliable service but does not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, chAIrman and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

chAIrman's total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid to chAIrman in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. chAIrman does not warrant that the Service will be error-free or that AI agent outputs will be accurate or suitable for any particular purpose.

14. Indemnification

You agree to indemnify and hold harmless chAIrman, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service or violation of these Terms.

15. Termination

chAIrman may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice. Upon termination, your license to use the Service ends immediately. Sections on intellectual property, limitation of liability, disclaimer, and indemnification survive termination.

16. Modifications to Terms

chAIrman may update these Terms at any time. We will notify users of material changes via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

18. AI Agent Permissions and Bypass Mode

chAIrman spawns AI agents (Claude Code processes) that operate with elevated permissions by default, including --permission-mode bypassPermissions. By using the Service, you acknowledge and accept the following:

• Agents run with bypass permissions. Agents spawned by chAIrman execute with bypassPermissions mode enabled. This means agents may read, write, modify, or delete files on your local machine without asking for individual confirmations on each operation.
• You are solely responsible for agent actions. You accept full responsibility for all actions taken by agents you spawn, including any unintended file modifications, deletions, or system changes that occur on your machine or any connected systems.
• Scope your agent work directories carefully. You are responsible for ensuring agents work only in appropriate project directories. chAIrman is not liable for data loss, file corruption, or unintended changes resulting from agent operations conducted in bypass permissions mode.
• No warranty on agent outputs. AI agent outputs — including code, commands, scripts, or file modifications — are not guaranteed to be safe, correct, or suitable for any purpose. You must review agent work before deploying or executing it in production environments.
• Third-party API usage. Agents interact with third-party services (including the Anthropic Claude API) on your behalf. You are responsible for any costs, rate limits, or terms-of-service implications arising from agent API usage under your credentials.

chAIrman provides orchestration infrastructure only. The decisions, tasks, and outcomes of AI agents are entirely under your direction and control. chAIrman is not liable for any damages, data loss, or third-party claims arising from agent operations conducted using bypass permissions mode.
